Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites, AI voice receptionist platform, and related services provided by LobbyPilot ("LobbyPilot," "we," "us," or "our") (collectively, the "Services"). By accessing the Services or signing an order form that references these Terms, you ("Customer," "you") agree to be bound by them. If you are accepting on behalf of a company, you represent that you have authority to bind that company.

1. The Services

LobbyPilot provides an AI-powered call answering, qualification, booking, and routing platform for businesses. Specific features, usage allowances, service levels, and fees are set out in the applicable order form, proposal, or written agreement between you and LobbyPilot ("Order"). In the event of a conflict, the Order controls over these Terms.

2. Accounts and eligibility

The Services are intended for business use only. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of credentials and administrative passphrases, and for all activity occurring under your account. You must promptly notify us of any unauthorized use.

4. AI-generated output; no professional advice

The Services use artificial intelligence to converse with callers, transcribe and summarize calls, and take configured actions. AI output may occasionally be inaccurate or incomplete. You are responsible for reviewing call summaries and bookings, configuring appropriate escalation paths, and not relying on the Services as the sole channel for life-safety or emergency communications. The Services are not a substitute for emergency services (911) and must not be marketed or configured as such.

5. Customer data

As between the parties, you own the data you submit to the Services and the call data generated on your behalf ("Customer Data"). You grant LobbyPilot a worldwide, non-exclusive license to host, process, transmit, and display Customer Data to provide, secure, support, and improve the Services. Our handling of personal information is described in our Privacy Policy. We may use aggregated and de-identified data that does not identify you or any individual for analytics and service improvement.

6. Third-party services and integrations

The Services interoperate with third-party platforms (for example, telephony carriers, ServiceTitan, Housecall Pro, Jobber, Google Calendar, GoHighLevel). Your use of those platforms is governed by their terms, and LobbyPilot is not responsible for their availability, accuracy, or acts or omissions. Enabling an integration authorizes us to exchange relevant Customer Data with that platform on your behalf.

7. Fees and payment

Fees, billing frequency, and payment terms are set out in the applicable Order. Unless otherwise stated, fees are payable in U.S. dollars, are non-refundable except as expressly provided, and exclude taxes, which you are responsible for (other than taxes on our income). Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law, and we may suspend the Services for non-payment after notice.

8. Term, suspension, and termination

These Terms apply for the term stated in the Order and any renewals. Either party may terminate for material breach not cured within 30 days of written notice, or immediately if the other party becomes insolvent. We may suspend the Services immediately where reasonably necessary to address security risks, unlawful use, or non-payment. Upon termination, your access ends and, upon written request made within 30 days, we will provide a reasonable export of Customer Data before deleting it in the ordinary course.

9. Intellectual property

LobbyPilot and its licensors retain all right, title, and interest in and to the Services, including all software, models, designs, and documentation. No rights are granted except as expressly stated. Feedback you provide may be used by us without restriction or obligation.

10. Confidentiality

Each party will protect the other's non-public information with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisors bound by confidentiality obligations, or as required by law with notice where permitted.

11. Warranties and disclaimers

We warrant that we will provide the Services with reasonable skill and care. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND LOBBYPILOT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY CALL WILL BE ANSWERED, TRANSCRIBED, OR ROUTED ACCURATELY.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO LOBBYPILOT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO A PARTY'S INDEMNIFICATION OBLIGATIONS, BREACH OF CONFIDENTIALITY, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. Indemnification

You will defend and indemnify LobbyPilot against third-party claims arising from (a) your Customer Data, (b) your use of the Services in violation of law or these Terms, including call-recording and telemarketing laws, or (c) your products and services offered to callers. LobbyPilot will defend and indemnify you against third-party claims alleging that the Services, as provided by us and used as permitted, infringe a U.S. patent, copyright, or trademark, subject to customary exclusions.

14. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally; failing that, disputes will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and each party consents to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.

15. General

These Terms, together with the applicable Order and the Privacy Policy, are the entire agreement between the parties regarding the Services. Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with a merger or sale of substantially all assets. Neither party is liable for delays caused by events beyond its reasonable control. If any provision is unenforceable, the remainder remains in effect. We may update these Terms prospectively by posting a revised version with an updated date; material changes will be notified, and continued use after the effective date constitutes acceptance.
